Terms and Conditions

These Terms and Conditions (“Terms”) govern the provision of website design, development, and related services (“Services”) by Show Me My Tech Limited (“we”, “us” or “our”) to any company or individual (“Client” or “you”) who commissions such Services. By accepting a quote for our Services, paying the deposit, or otherwise engaging with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions

1.1 Client

The company or individual requesting the Services from Show Me My Tech Limited.

1.2 Show Me My Tech Limited

The provider of website design, development, and related services, as detailed in these Terms.

1.3 Project

The work comprising website design, development, and any additional related services as detailed in the individual quote and contract agreed with the Client.

1.4 Project Completion

The stage at which the website is designed, developed, and deemed ready for final review by the Client in accordance with the project specification.

1.5 Launch

The upload and public release of the completed website on the designated hosting server.


2. Acceptance

2.1 A separate signed document is not required to accept these Terms. By accepting a quote for our Services—whether via email or other written communication—and making the deposit payment, the Client confirms their acceptance of these Terms in full.

2.2 A link to these Terms and Conditions will be provided with the quote. The Client is responsible for reviewing them before making any payment.


3. Agreement and Scope

3.1 Work shall only commence once the Client has accepted a mutually agreed quote and paid the deposit. The quote, project specification, and these Terms together constitute the entire agreement between the parties.

3.2 The Client is responsible for reviewing the project details and ensuring that all requirements are clearly set out and mutually agreed upon before work commences.


4. Timeframes and Content Provision

4.1 Project Timeline

The standard timeframe for project completion is two (2) weeks from the commencement of work, subject to the Client’s timely provision of all required materials.

4.2 Client Content Obligations

The Client is responsible for supplying all necessary content, including text, images, videos, and other media, in the required format and within the agreed deadlines.

Text Content:

  • The Client is encouraged to provide all website copy via Google Workspace documents (Google Docs) with shared access granted to us.
  • Alternatively, content may be supplied via email (in the body of the email or as an attached Word document).

Images and Media:

  • Images should be uploaded to a shared Google Drive folder (which will be provided) or sent via email.
  • Accepted image formats: JPG, WebP, PNG, GIF, or TIFF.
  • Logos must be provided in a vector format (AI, SVG) or as a high-quality PNG (minimum width of 1000 pixels).

4.3 Delays

If the Client fails to provide the required content within one (1) week of project commencement:

  • We may suspend work on the project.
  • A £150 per week surcharge may be applied for delays caused by the Client, as these can impact other projects in our pipeline.

If delays extend beyond four (4) weeks, we may terminate the project and invoice for work completed up to that point.

4.4 Additional Work Beyond Scope

Any modifications, additional features, or extra work requested by the Client beyond the original project specification will be subject to a separate quote or billed at our standard rate of £40 per hour, unless otherwise agreed in writing.


5. Intellectual Property and Code Ownership

5.1 Design and Code Ownership

  • All proprietary CSS, layouts, and JavaScript code (“Code”) created by Show Me My Tech Limited remains our intellectual property.
  • Upon full payment, the Client receives a non-exclusive, perpetual license to use the Code solely for operating their website.
  • The Client may modify the Code for their own use but may not claim ownership of or resell our layouts, design system, or proprietary elements.

5.2 Client Content

The Client retains full copyright ownership of all content supplied by them.


6. Portfolio Rights and Design Credit

A “Built by Show Me My Tech Limited” credit will appear in the website footer. Removal of this credit is available for a fee of £200, which must be agreed in writing.

6.2 Portfolio Inclusion

Show Me My Tech Limited reserves the right to showcase the Client’s completed project in our portfolio and marketing materials. However, the Client may request an opt-out in writing prior to project completion.

6.3 Updates to Portfolio Inclusions

We reserve the right to update portfolio examples over time (e.g., using updated screenshots or revised descriptions). If a Client requests removal from our portfolio after project completion, we may consider such requests at our discretion.


7. Payment Terms

7.1 Payment Schedule

Payments shall be made as follows:

  • Deposit: 40% of the total project cost (non-refundable once work has commenced).
  • Design Approval: 30% upon the Client’s approval of the design.
  • Completion: 30% upon project completion and prior to website launch.

7.2 Late Payments

  • A 5% late fee will be applied to overdue invoices each month until the balance is paid in full.
  • If an invoice remains unpaid after multiple reminders, a statutory interest rate of 8% plus the Bank of England base rate may be applied in accordance with the Late Payment of Commercial Debts Act 1998.

7.3 Payment Method

Payments must be made via bank transfer. Our bank details will be provided on each invoice.


8. Hosting & Maintenance

8.1 Hosting Requirement

Hosting is a mandatory component of our Services. We do not provide maintenance or support for websites hosted on third-party servers.

8.2 Monthly Maintenance

A £20 monthly maintenance fee is required, covering:

  • Routine plugin and security updates
  • Up to 15 minutes per month of small content updates
  • Hosting services

8.3 Cancellation Policy

Maintenance and hosting agreements can be cancelled with 30 days’ written notice.

8.4 Effect of Termination of Hosting & Maintenance

Upon cancellation of our maintenance and hosting services:

  • The Client is responsible for migrating their website to a new hosting provider.
  • We do not guarantee continued uptime after the termination date.
  • Any migration assistance required will be quoted separately.

8.5 Response Time for Maintenance Requests

Standard maintenance requests will be processed within 5 business days unless otherwise agreed. Urgent changes may be accommodated at an additional fee.


9. Limitation of Liability & Warranty

9.1 Warranty

We shall exercise reasonable skill and care in performing the Services; however, we do not guarantee that the website will be completely error-free or function without interruption.

The website is designed to be compatible with the latest versions of:

  • Google Chrome
  • Mozilla Firefox
  • Microsoft Edge
  • Apple Safari

Browser Compatibility Limitations:

  • We do not guarantee compatibility with future browser versions beyond those available at the time of project completion.
  • Compatibility with outdated browsers (e.g., Internet Explorer) is not included unless explicitly agreed in writing.

9.2 Limitation of Liability

  • Our total liability is capped at the total amount paid for the Services.
  • We are not liable for indirect or consequential losses, including lost profits or business interruption.

9.3 Force Majeure

We are not responsible for delays or failures due to circumstances beyond our control, including but not limited to cyberattacks, server failures, third-party service interruptions, natural disasters, or government actions. If a force majeure event affects our ability to perform Services, we will notify the Client as soon as reasonably possible.


10. Backup & Site Transfer

10.1 Backup Provision upon Termination

  • A backup will be provided if the Client terminates the Services.
  • The backup will be in a widely compatible format suitable for any hosting provider.
  • Before transferring the backup, we will remove all licensed elements, API keys, and credentials that belong to us or third parties.

11. Termination

11.1 Termination by the Client

The Client may terminate Services by providing written notice. A final invoice will be issued for all work completed up to that point.

11.2 Termination by Show Me My Tech Limited

We reserve the right to terminate the agreement if the Client fails to pay invoices on time or breaches these Terms.


12. Governing Law and Dispute Resolution

12.1 These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

12.2 The parties shall attempt to resolve disputes through negotiation before seeking legal action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the individual project quote and specification, constitute the entire agreement between the parties and supersede all prior negotiations and agreements.

13.2 Amendments

No amendment or variation of these Terms shall be effective unless in writing and signed by both parties.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.5 Assignment

  • The Client may not assign their rights or obligations under these Terms without our prior written consent.
  • We may assign our rights and obligations without notice.
